Reasons for the Dissolution of CELA
CELA was founded in 2008 to promote international legal cooperation. Its main activity consisted in the shareholding and management of the Chinese European Arbitration Center GmbH (CEAC) in Hamburg. However, under the applicable German tax law this shareholding seemed not appropriate for CELA as a non profit organization. Therefore, with effect of 20 April 2018, CELA sold its shareholding in CEAC to the Chinese European Arbitration Association (CEAA). After the disposal of CEAC however most members lost interest in CELA and many joined CEAA. Consequently CELA had no income in 2019 as well as 2020 and with only minimal financial resources cannot execute any of its statutory tasks. Therefore the Board of CELA unanimously proposes to the members to vote for the dissolution of CELA according to Art. 13 of the CELA Statutes. Remaining assets will be transferred according to Art. 13 para 2 of the CELA Statutes to the Hamburg Arbitration Circle e.V. to be spent in line with the statutory purposes of CELA.
